The Role
Corporate Counsel will support CEO and other senior leaders by providing legal advice related to NDAs, Commercial Contracts, and Employment Relationships, and will work with the outside counsel and legal teams on matters related to SEC filings and fundraising matters.
The successful candidate will be responsible for:
Draft and negotiate corporate and commercial agreements (confidentiality, independent contractor, employment, and service agreements.
Advise on corporate governance matters.
Assist with SEC filings and reporting.
Manage and mitigate legal risks by designing and implementing company policies and procedures.
Provide counsel in connection with commercial, project development, and project finance matters.
Manage outside counsel relationships to ensure access to high-quality, cost-effective subject matter expertise and specialized support.
Assist with subsidiary management and compliance matters.
Perform and manage transaction diligence.
Develop forms for commercial transactions.
Ensure compliance with all laws and regulations that apply to the business.
Requirements
Law degree (JD) or LL.M from U.S. accredited law school and active, good standing membership in at least one U.S. State bar
2 years or more of experience as an in-house lawyer or an associate in a law firm.
Strong business acumen.
Excellent negotiation skills.
Compensation and Benefits
Salary range $100,000 – $120,000
